Framework Island is a venture studio and operational partner that provides product development, operational support, advisory services, software systems, and related business services to startups and portfolio companies.

These Terms govern your access to and use of our Services and website.

By using our Services, you represent that:

• You are at least 18 years old
• You have the authority to enter into these Terms
• Your use of the Services complies with all applicable laws and regulations

Framework Island may provide:

• Product development and engineering services
• AI implementation and operational systems
• Revenue and business operations support
• Consulting and strategic advisory services
• Venture studio and startup incubation services
• Access to proprietary software, platforms, or tooling

Specific project scopes, deliverables, equity arrangements, and fee structures may be governed by separate written agreements.

Unless otherwise agreed in writing:

• Framework Island retains ownership of its proprietary systems, frameworks, software, tooling, methodologies, and pre-existing intellectual property.
• Clients and portfolio companies retain ownership of their respective trademarks, content, and business assets.
• Any jointly developed intellectual property shall be governed by the applicable project agreement.

You may not reproduce, distribute, reverse engineer, or exploit any portion of the Services without prior written consent.

Both parties agree to maintain the confidentiality of any non-public or proprietary information shared during the course of engagement.

This obligation survives termination of any relationship or agreement.

While Framework Island works to support the growth and success of ventures and clients, we do not guarantee:

• Business success
• Revenue outcomes
• Investment returns
• Fundraising results
• Product-market fit
• Platform uptime or uninterrupted availability

All Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Framework Island shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Use of the Services
• Business interruption
• Data loss
• Lost profits or revenue
• Third-party actions or integrations

Our total liability under these Terms shall not exceed the amount paid to Framework Island for Services within the preceding 12 months.

Our Services may integrate with or reference third-party platforms, software providers, APIs, or external tools.

Framework Island is not responsible for the availability, security, or performance of third-party services.

Fees, payment schedules, management fees, equity participation, and operational structures are determined on a case-by-case basis and governed through separate written agreements.

Failure to satisfy payment obligations may result in suspension or termination of Services.

We reserve the right to suspend or terminate access to the Services at any time, with or without notice, for violations of these Terms or applicable agreements.

Any provisions intended to survive termination shall remain in effect.

You agree to indemnify and hold harmless Framework Island and its affiliates, employees, contractors, and partners from any claims, liabilities, damages, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of applicable laws or third-party rights

These Terms shall be governed and interpreted under the laws of the State of Washington, without regard to conflict of law principles.

Framework Island may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
